Evolution walks away from Galaxy Gaming after regulatory approvals fail to arrive
Evolution has given notice terminating the merger agreement between Evolution Malta Holding Limited, Galaxy Gaming and Galaga Merger Sub. The parties had previously extended the deadline to 17 July 2026 in order to secure the regulatory approvals the transaction required. Under the agreement’s terms, Evolution pays Galaxy Gaming a termination fee of $5,234,678. Evolution said the outcome is not expected to affect the existing commercial relationship between the two companies.
Acquiring a licensed gaming supplier means acquiring its licences, and in practice that means suitability review of the buyer by every regulator that licensed the target. It is a slow process, and it is one of the few points at which a regulator’s view of a company translates directly into a number on a balance sheet.
The sequence invites a question this desk cannot answer from the public record: the termination came two days before the Gambling Commission published a £4.75 million settlement with the same acquiring entity, concluding a licence review that had been open since December 2024. Neither party has linked the two, and no document establishes a connection. The proximity is noted, not explained.
